The Prescott Hiking Club
ARTICLES OF ASSOCIATION
These Articles of Association (Articles) of the members of the Prescott Hiking Club, desiring to formalize their role as volunteers in a non-profit organization within the meaning of the federal Volunteer Protection Act of 1997, do hereby certify:
The name of this Association shall be:
“PRESCOTT HIKING CLUB,” (PHC or Club)
I. The Club is located in Yavapai County, Arizona.
II. The business and purposes for which this Club is formed are: to maintain a social and community service organization promoting mutual acquaintance and good fellowship among those residents of Yavapai County and its surrounding areas who are interested in hiking, and other outdoor activities; to promote healthful and wholesome outdoor activities; to promote education of members in safe hiking practices and appreciation of the natural beauty and historic aspect of the area; and to aid and contribute to the recreational endeavors of the Yavapai County area.
III. No part of the earnings of the Club shall be enjoyed by, or distributed to, any member, officer or other private person. The Club is authorized, however, to pay reasonable compensation for services rendered or expenses incurred by members or other persons and to make payments or contributions in furtherance of PHC purposes as set forth in Article II. The Club will not carry out propaganda, or otherwise attempt to influence legislation, and the Club will not participate in, or publish or distribute statements for, any political campaign on behalf of, or in opposition to, any candidate for public office.
IV. Membership in this Club shall be restricted to adult (18 years or older) residents, or part-time residents, of the Yavapai County area who are interested in hiking and in other outdoor recreational activities. Membership shall not be denied on the basis of race, religion, gender, or national origin, or for any other reason contrary to state or federal laws, guidelines or regulations concerning unlawful discrimination. Membership shall not be transferrable and no member shall have any right whatsoever to any of the property of the Club.
V. The Club shall be governed as provided by these Articles, and its control and management will be vested in the membership and whatever officers the Club finds it necessary or appropriate to appoint or elect.
VI. Members present at any membership meeting may vote with regard to any issues of club business that are properly raised there.
VII. Pursuant to the federal Volunteer Protection Act of 1997, no PHC member, agent, leader, instructor, guide, or officer shall have any personal liability for acts performed in good faith in his/her official capacity.
These Articles of Association were adopted by a vote of the membership taken at an open meeting on July 15, 2015.
A copy of these Articles will be published on the website, and a printed copy will be maintained by the Treasurer.
